NASHVILLE OLD TIMERS BASEBALL ASSOCIATION CONSTITUTION

ARTICLE I:   NAME 

THE NAME OF THIS ORGANIZATION SHALL BE KNOWN AS THE NASHVILLE OLD TIMERS BASEBALL ASSOCIATION.

ARTICLE II:   OBJECT

THE NASHVILLE OLD TIMERS BASEBALL ASSOCIATION IS TO BE A CHARTERED NON-PROFIT ORGANIZATION IN THE STATE OF TENNESSEE. THE PURPOSE OF THIS ORGANIZATION IS TO PROMOTE BASEBALL AT ALL LEVELS OF PLAY AND TO RECOGNIZE THOSE THAT HAVE PLAYED AND BEEN ACTIVE IN THE GAME OF BASEBALL.

ARTICLE III:  STATEMENT OF AFFILIATION

THIS ORGANIZATION MAY BE AFFILIATED WITH MOST ORGANIZATIONS THAT PROMOTE BASEBALL AS DEEMED APPROPRIATE BY THE BOARD OF DIRECTORS.

ARTICLE IV:  SITE OF PRINCIPAL OPERATION

THE PRINCIPAL OPERATION OF THIS ASSOCIATION SHALL BE IN AND AROUND THE CITY OF NASHVILLE, TENNESSEE IN THE COUNTY OF DAVIDSON AND MAY EXTEND TO ADJOINING COUNTIES AS DEEMED NECESSARY BY THE BOARD OF DIRECTORS.

ARICLE V:  POWERS

THIS ORGANIZATION SHALL HAVE THE FOLLOWING POWERS IN ADDITION TO THE POWERS EXPRESSLY OR IMPLICITLY CONFERRED ON IT BY LAW.

1. TO MAKE AND ENFORCE RULES AND REGULATIONS TO GOVERN ITSELF ON A LOCAL BASIS, BUT CONSISTENT WITH AND NOT CONTRARY TO RULES AND REGULATIONS PROMULGATED BY THE ASSOCIATIONS AFFILIATED WITH.
2. TO BE ABLE TO SOLICIT CONTRIBUTIONS BY GIFTS OR THE SALE OF MERCHANDISE.
3. THIS ASSOCIATION SHALL HAVE THE POWER TO ENTER INTO ANY CONTRACT OR AGREEMENT THAT WILL FURTHER ADVANCE THE BETTERMENT OF THE ENTIRE ASSOCIATION ON APPROVAL BY THE BOARD OF DIRECTORS.
4. THIS ASSOCIATION MAY HOLD AND OWN PROPERTY OF ITS OWN IF SUCH PROPERTY IS AVAILABLE FREE OF CHARGE OR IF THE FUNDS FOR BUYING OR LEASING SUCH PROPERTY IS AVAILABLE.

ARTICLE VI: MEMBERSHIP

1. AN INDIVIDUAL MAY BECOME A MEMBER OF THE BOARD OF THE NASHVILLE OLD TIMERS BASEBALL ASSOCIATION UPON BEING NOMINATED BY A MEMBER OF THE BOARD, AND APPROVED BY THE EXECUTIVE COMMITTEE AND BY A MAJORITY VOTE OF THE BOARD.
2. AN INDIVIDUAL THAT IS INTERESTED IN HOLDING A GENERAL MEMBERSHIP IN THE NASHVILLE OLD TIMERS BASEBALL ASSOCIATION MAY DO SO BY PAYING THE ANNUAL DUES THAT ARE SET BY THE BOARD.

ARTICLE VII: OFFICERS

OFFICERS OF THE NASHVILLE OLD TIMERS BASEBALL ASSOCIATION SHALL BE:

1. PRESIDENT
2. VICE-PRESIDENT
3. SECRETARY
4. TREASURER
5. CHIEF FINANCIAL OFFICER

THE OFFICE OF SECRETARY AND TREASURER MAY BE COMBINED AT THE DESCRETION OF THE BOARD.

ARTICLE VIII: MEETINGS AND QUORUMS

1. MEETINGS WILL BE HELD AS DETERMINED BY THE PRESIDENT.
2. SPECIAL MEETINGS MAY BE CALLED BY THE PRESIDENT OR BY TEN (10) MEMBERS OF THE BOARD OF DIRECTORS.
3. TEN PERCENT (10%) OF THE MEMBERS OF THE BOARD OF DIRECTORS MUST HAVE BEEN PRESENT AT A MEETING TO CONSTITUTE A QUORUM.

ARTICLE IX: AMENDMENTS

AMENDMENTS TO THE CONSTITUTION SHALL BE MADE BY A MAJORITY VOTE OF THOSE PRESENT, PROVIDED THE AMENDMENT/S HAS BEEN SENT TO THE BOARD AT LEAST SEVEN (7) DAYS PRIOR TO THE MEETING.

NASHVILLE OLD TIMERS BASEBALL ASSOCIATION BY-LAWS

ARTICLE 1:  OFFICERS

PRESIDENT

1. THE PRESIDENT OF THE ASSOCIATION SHALL BE ELECTED BY THE BOARD WITH THE EXCEPTION THAT THE VICE-PRESIDENT WILL ASSUME THE POSITION OF PRESIDENT UPON FILLING HIS TERM AS VICE-PRESIDENT.
2. THE PRESIDENT  IS TO PRESIDE AT ALL MEETINGS OF THE BOARD AND PERFORM ALL DUTIES PERTAINING TO THE OFFICE.
3. HE SHALL APPOINT ALL COMMITTEES OF THE ORGANIZATION.
4. HE SHALL BE A VOTING MEMBER OF THE BOARD.
5. HIS TERM SHALL BE TWO YEARS.
6. HE MAY SIGN CHECKS ISSUED BY THE ASSOCIATION.
7. HE SHALL PERFORM OTHER DUTIES AS SET BY THE BOARD.

VICE-PRESIDENT

1. HE SHALL BE ELECTED BY THE BOARD UPON NOMINATION BY THE EXECUTIVE COMMITTEE OR UPON NOMINATION BY THE BOARD.
2. HE SHALL PERFORM THE DUTIES OF THE PRESIDENT IN THE ABSENCE OF THE PRESIDENT.
3. HIS TERM OF OFFICE SHALL BE TWO YEARS.
4. HE SHALL ASSUME THE OFFICE OF PRESIDENT ON THE RESIGNATION OF THE PRESIDENT.
5. HE SHALL BE AVOTING MEMBER OF THE BOARD.
6. HE SHALL ASSUME THE OFFICE OF PRESIDENT AFTER COMPLETING HIS TERM AS VICE-PRESIDENT.
7. HE SHALL PERFORM OTHER DUTIES AS SET BY THE BOARD.

SECRETARY

1. HE WILL KEEP THE MINUTES OF ALL PRECEEDINGS AND RECORD THE SAME.
2. HE WILL GIVE NOTICE OF ALL MEETINGS, NOTIFY ALL OFFICERS OF ALL MATTERS OF BUSINESS AND OTHER DUTIES WHICH HIS OFFICE MAY REQUIRE.
3. HIS TERM OF OFFICE SHALL BE TWO YEARS.
4. HE SHALL BE A VOTING MEMBER OF THE BOARD.
5. HE SHALL PERFORM OTHER DUTIES AS SET BY THE BOARD.
6. HIS OFFICE MAY BE COMBINED WITH THE OFFICE OF TREASURER.

TREASURER

1. HE SHALL SIGN CHECKS FOR THE ASSOCIATION.
2. HE SHALL MAKE REGULAR REPORTS OF RECEIPTS AND DISBURSEMENTS.
3. HIS TERM OF OFFICE SHALL BE TWO YEARS.
4. HE SHALL BE A VOTING MEMBER OF THE BOARD.
5. HIS OFFICE MAY BE COMBINED WITH THE OFFICE OF SECRETARY.

CHIEF FINANCIAL OFFICER

1.  HE SHALL BE ELECTED BY THE BOARD

2.  HE SHALL ASSIST AND CONSULT IN FINANCIAL MATTERS RELATED TO THE ASSOCIATION

3.  HIS TERM OF OFFICE SHALL BE TWO YEARS

4.  HE SHALL BE A VOTING MEMBER OF THE BOARD 

5.  HE SHALL HAVE THE AUTHORITY TO EXECUTE FINANCIAL DOCUMENTS, BANK DOCUMENTS OF ALL DESCRIPTIONS, DOCUMENTS RELATED TO ANY FILINGS WITH THE INTERNAL REVENUE SERVICE AND THE LIKE

6.  HE SHALL PERFORM OTHER DUTIES AS MAY FROM TIME TO TIME BE REQUESTED BY THE BOARD OR THE PRESIDENT 

BOARD OF DIRECTORS 

BOARD MEMBERS SHALL VOTE ON ALL MATTERS BEFORE THE ASSOCIATION, EXCEPT SPECIAL BOARDS AND COMMITTEES SET UP BY THE PRESIDENT. THE BOARDS OF SPECIAL COMMITTEES AND BOARDS WILL VOTE ON ITS OWN MATTERS AND REPORT THEIR FINDINGS OR PROPOSALS TO THE ASSOCIATION BOARD.

ARTICLE II:  EXECUTIVE COMMITTEE

1. THE EXECUTIVE COMMITTEE SHALL CONSIST OF THE OFFICERS OF THE ASSOCIATION, THE IMMEDIATE PAST PRESIDENT OF THE ASSOCIATION, AND SIX BOARD MEMBERS CHOSEN BY THE BOARD.
2. THE EXECUTIVE COMMITTEE SHALL FROM TIME TO TIME MAKE RECOMMENDATIONS, INCLUDING NOMINATIONS, TO THE BOARD FOR THEIR CONSIDERATION.
3. REQUESTS FOR THE EXPENDITURE OF FUNDS FROM THE PRIMARY CHECKING ACCOUNT SHALL BE PRESENTED IN WRITING TO THE EXECUTIVE COMMITTEE FOR RECOMMENDATION TO THE BOARD.

ARTICLE III:  FEES

FEES, TICKETS, AND DUES WILL BE SET BY THE ASSOCIATION BOARD AND MAY VARY EACH YEAR.

ARTICLE IV:  RULES AND REGULATIONS

1. THE ANNUAL DATES FOR THE ASSOCIATION ARE MARCH 1 THROUGH FEBRUARY 28.
2. IN CASE OF VACANCY IN AN OFFICE, IT SHALL BE FILLED AT THE NEXT MEETING OF THE ASSOCIATION IF NOT FILLED ACCORDING TO THE CONSTITUTION OR BY LAWS.
3. BY-LAW CHANGES SHOULD BE PUT IN WRITING AND VOTED ON AT BOARD MEETINGS.
